Free one-way NDA template

- If both sides will share confidential information, consider the mutual NDA instead.
- Not designed for employment, settlement, regulated data or an invention assignment. It does not cover disclosures before the effective date.

About this template
Who is the disclosing party in a one-way NDA?
The disclosing party owns or is authorized to share the information being protected. The receiving party gets access for the stated purpose and accepts the confidentiality duties. Use legal names so their roles are clear.
Is a unilateral NDA the same as a one-way NDA?
Those terms commonly describe the same structure: confidentiality obligations protect information shared by one named party. A mutual NDA instead protects information shared by either party.
Does a one-way NDA transfer intellectual property?
This draft does not assign intellectual property. It permits limited use of information for the stated purpose. Any transfer of ownership or broader license needs a separate, explicit agreement.
Can an NDA prohibit reports to the government?
This draft does not. Its protected-reporting clause and trade-secret immunity notice preserve lawful disclosures, and it does not require advance notice or permission for protected activity.
